These Terms & Conditions (“Terms”) form a binding agreement between you (“Sathi”, “you”) and Mudrabase Sales and Distribution Private Limited (“Mudrabase”, “we”, “us”) governing your access to and use of the Mudrabase Sathi programme, websites (mudrabase.in, sathi.mudrabase.in, mudrabasesathi.com) and mobile apps (collectively, the “Platform”).
By signing up, you confirm that you have read, understood and agree to these Terms.
1. Eligibility
- You must be at least 18 years old and based in Uttar Pradesh. Mudrabase currently operates only in Uttar Pradesh.
- You must have a valid mobile number, email, PAN and bank/UPI details for payouts.
- Employees of Mudrabase Group companies are not eligible to enroll as Sathis.
- Files (leads) must be for customers in Uttar Pradesh.
2. Nature of relationship
A Sathi is an independent referrer / commission agent. Nothing in these Terms creates an employer–employee, partnership, franchise or joint-venture relationship. Sathis cannot represent themselves as Mudrabase employees, sign contracts on our behalf, or collect money from customers.
3. Referrals & lead ownership
- A lead is “owned” by the Sathi who first submits it through the Platform with valid contact details.
- Duplicate or already-existing customer records will be flagged and may be rejected.
- Mudrabase retains full discretion to qualify, accept or reject any lead.
4. Commissions & referral
- The Sathi who sourced the completed file is paid the rupee amount on their payout card (by system type and kW), in parts as the project completes.
- If you referred that Sathi (one hop only), you earn 2% of their file payout after that file is fully complete — not a percentage of project value, and not a multi-level tree.
- Amounts and the referral percent may be revised with notice on the Platform (Sathi Admin).
- Cancelled, refunded, defaulted or charged-back orders will result in commission reversal.
5. Payouts
- Minimum payout amount: ₹100. Payouts are released after KYC verification.
- Payouts are made to the verified bank account or UPI ID on file. Wrong details supplied by the Sathi are not our liability.
- TDS and other applicable taxes will be deducted as per Indian law. Sathi is responsible for own income-tax filings.
- Suspicious activity (fake leads, self-referrals, fraud) may freeze the wallet pending investigation.
6. Acceptable use
- No spamming, fake numbers, scraped data, impersonation, or misleading promises to customers.
- No unauthorised use of Mudrabase brand, logo or trademarks.
- No promising discounts, subsidies or warranties beyond what is officially published.
- Comply with all applicable laws including consumer-protection, data-privacy and tax laws.
7. Intellectual property
All Mudrabase content, code, logos, training material and creative assets remain the sole property of Mudrabase Sales and Distribution Private Limited. You receive a limited, non-transferable, revocable licence to use approved promotional material strictly for promoting Mudrabase products.
8. Termination
We may suspend or terminate a Sathi account for breach of these Terms, fraud, abuse, or risk to customers / brand. Upon termination, any unconfirmed commissions will be forfeited; commissions already approved will be paid out as per normal cycle (subject to applicable clawbacks).
9. Limitation of liability
To the maximum extent permitted by law, Mudrabase's total liability arising out of the Platform shall not exceed the commissions paid to the Sathi in the 3 months preceding the claim. We are not liable for indirect, consequential or punitive damages.
10. Governing law & jurisdiction
These Terms are governed by the laws of India. Courts at Gorakhpur, Uttar Pradesh shall have exclusive jurisdiction over any disputes.
11. Changes
We may update these Terms from time to time. The latest version will always be available at this URL. Continued use of the Platform after changes constitutes acceptance.
